David Guadagnoli is Senior Corporate and Litigation Counsel, overseeing the firm's Litigation, Trust and Estates, Real Estate, and Insurance Practice Groups, and providing counsel as part of the firm’s Employment & Labor Law Practice Group.

David has practiced extensively providing both transactional and litigation services to policy holders and insurers in negotiation, mediation, arbitration and litigation in state and federal courts, including prosecuting and defending declaratory judgment coverage actions and appeals involving defense (including independent counsel conflict issues), additional insured coverage, contractual and common law indemnity, contribution, disclaimer validity, notice, and subrogation issues, in numerous insurance disputes and coverage actions, across the country at the trial and appellate levels, as well as providing advisory opinions to clients in these areas.  David also has provided legal services to policy holders and corporate entities in matters involving commercial general liability, directors’ and officers’ and errors and omissions risks.

David also represents owners, managers, developers, construction firms, landlords, tenants, purchasers and sellers in property purchase and sale transactions (commercial and residential), including drafting and reviewing of purchase and sale and other property acquisition agreements, buy-sell agreements, private placement agreements and other seed capital (and necessary securities law compliant) agreements for real estate investment and acquisition transactions.

David has represented employers and companies in unemployment benefits, wage and hour disputes, workers’ compensation disputes, contract disputes, and has extensive experience litigating construction, business, and real estate disputes, as well as providing transactional advice to many clients in these fields.

David specializes in and aggressively employs alternative dispute resolution methods, including mediation to successfully resolve complex disputed matters.

David also represents individuals and entities, in all phases of trust preparation and trust related litigation including providing counsel to not for profit entities in the preparation of trust documents and agreements including first and third party supplemental needs and special needs trusts, and other types of exceptions trusts. David also represents individuals and families and counsels them on Will Preparation and Estate Planning.  

David also advises and represents a growing number of start-up, internet, and technology companies in practice areas including vendor contracting, non-disclosure agreements, and the numerous complex issues arising in these areas. Separately, David also counsels and represents these clients on real estate matters including space and property acquisition, commercial leasing transactions, and lease negotiations.

Prior to Guadagnoli & Associates, PC, David was a corporate and litigation attorney with the law firm of Rivkin Radler LLP.  A graduate of the St. John’s University School of Law, David was a member of the St. John’s law review and is a published author, successfully publishing “Recent Development in New York Law. Hynes v. Tomei” in volume 73:3 of the St. John’s Law Review.
